SALEPRO POS — TERMS & CONDITIONS OF SUBSCRIPTION AND USE

These Terms & Conditions ("Terms") govern the subscription, access to, and use of SalePro POS, a cloud-based business management and point-of-sale software service ("Service") provided by Technifying Kenya ("we", "us", "our", or "Provider").
By subscribing to, accessing, or using SalePro POS, the customer ("Customer", "you", or "your") agrees to be bound by these Terms.
If you do not agree with these Terms, you should not subscribe to or use the Service.
1. DESCRIPTION OF THE SERVICE
SalePro POS is a software-as-a-service (SaaS) platform designed to assist businesses with functions including, but not limited to:
Point-of-sale and sales processing
Product and inventory management
Purchase management
Supplier and customer management
Business and branch management
Staff and user management
Expense management
Reports and analytics
Tax and pricing management
Barcode and product management
Notifications
Invoice and receipt management
Other features made available within the Customer's subscription plan
The features available to a Customer may depend on the subscription plan selected.
We reserve the right to introduce, modify, improve, or discontinue features, provided that such changes do not fundamentally deprive the Customer of the core functionality of the subscribed Service.
2. ELIGIBILITY
To subscribe to SalePro POS, you must:
Be legally capable of entering into a binding agreement.
Provide accurate and complete registration information.
Provide a valid email address and/or telephone number.
Have authority to subscribe on behalf of a business where the subscription is made for a business.
Use the Service only for lawful business activities.
Where an account is registered on behalf of a company, organization, or other business entity, the person creating the account represents that they have authority to accept these Terms on behalf of that entity.
3. ACCOUNT REGISTRATION
The Customer is responsible for maintaining accurate account information.
You are responsible for:
Maintaining the confidentiality of your login credentials.
Creating appropriate user accounts.
Assigning appropriate roles and permissions.
Preventing unauthorized access to your account.
Immediately notifying us of suspected unauthorized access.
You must not share administrator credentials unnecessarily or allow unauthorized persons to access your account.
The Customer is responsible for all activities performed through its account unless the Customer can demonstrate that such activity occurred as a result of unauthorized access that was not caused by the Customer's negligence or failure to maintain account security.
4. SUBSCRIPTION PLANS
SalePro POS is provided on a subscription basis.
The Customer may subscribe to a plan offered by the Provider, which may be billed:
Monthly;
Annually; or
According to another billing period specified at the time of subscription.
Each subscription plan may have limitations regarding features, users, branches, storage, transactions, reports, or other resources.
The Provider reserves the right to introduce new subscription plans or modify existing plans.
Any applicable changes to pricing or plan features will be communicated through the Service, website, email, or other reasonable communication channels.
5. SUBSCRIPTION FEES AND PAYMENT
The Customer agrees to pay all applicable subscription fees associated with the selected plan.
Unless otherwise stated:
Subscription fees are payable in advance.
A subscription becomes active after successful payment or confirmation of payment.
The Customer is responsible for providing accurate payment information.
Applicable taxes, including VAT where applicable, may be added to the advertised price.
Payment processing may be handled through third-party payment providers.
For Kenyan customers, payments may be made through payment methods made available by the Provider, including mobile money, bank payments, card payments, or other supported methods.
6. AUTOMATIC RENEWAL
Where automatic renewal is enabled, the Customer authorizes the applicable payment method to be charged at the beginning of each renewal period.
The Customer may disable automatic renewal before the next billing date.
If automatic payment fails, the Provider may:
Notify the Customer;
Provide a grace period for payment;
Restrict certain functionality; and/or
Suspend the account until payment is received.
7. TRIAL PERIODS
Where a free or discounted trial is offered, the trial period will be subject to the conditions communicated when the Customer registers.
The Provider may:
Limit features available during the trial;
Limit the number of users, transactions, branches, or other resources;
Terminate or modify a trial where there is evidence of abuse.
Unless explicitly stated otherwise, a free trial does not constitute a guarantee that the Service will remain free after the trial period.
8. CANCELLATION BY THE CUSTOMER
The Customer may request cancellation of their subscription through the available account settings or by contacting the Provider.
Cancellation will normally prevent renewal at the end of the current paid subscription period.
Unless otherwise expressly stated, cancellation does not automatically entitle the Customer to a refund for unused days within an already-paid subscription period.
9. REFUND POLICY
Subscription fees are generally non-refundable once a subscription period has commenced, except where:
Required by applicable law;
The Provider expressly agrees to issue a refund;
A duplicate payment has been made;
A payment was made in error and the Provider confirms the error; or
The Service was materially unavailable due to a prolonged Provider-side failure and the Provider determines that a refund or service credit is appropriate.
Any approved refund will normally be returned through the original payment method where reasonably possible.
10. ACCOUNT SUSPENSION
We may temporarily suspend an account where:
Subscription fees remain unpaid;
The Customer violates these Terms;
The account is involved in fraudulent or illegal activity;
The Customer attempts to compromise the security of the Service;
The Customer abuses system resources;
The account creates a significant security risk;
The Customer uses the Service for prohibited activities; or
Suspension is reasonably necessary to comply with applicable law.
Where reasonably possible, we will notify the Customer before suspension and provide an opportunity to remedy the issue.
11. ACCOUNT TERMINATION
We may terminate an account where the Customer:
Seriously or repeatedly violates these Terms;
Uses the Service for unlawful purposes;
Attempts to reverse engineer or compromise the Service;
Attempts to gain unauthorized access to another Customer's account;
Uses the Service to distribute malicious software;
Engages in fraudulent activity; or
Fails to pay subscription fees following applicable notices and grace periods.
Termination for serious misconduct may take effect immediately.
12. CUSTOMER DATA
The Customer retains ownership of business information and data entered into SalePro POS, including, where applicable:
Product information;
Sales records;
Purchase records;
Customer information;
Supplier information;
Employee/user information;
Business records;
Inventory information;
Financial and transaction information; and
Other information submitted by the Customer.
The Customer grants the Provider the limited rights necessary to host, store, process, transmit, secure, back up, and otherwise provide the Service.
The Provider will not sell Customer business data to third parties for their own commercial purposes.
13. PERSONAL DATA AND PRIVACY
The Customer acknowledges that SalePro POS may process personal information relating to customers, employees, suppliers, users, and other individuals.
The parties agree to comply with applicable data protection and privacy laws.
For Kenyan operations, the parties should comply with the Data Protection Act, 2019 and applicable regulations and guidance issued by the Office of the Data Protection Commissioner (ODPC). �

Depending on the nature of the processing:
The Customer may act as the Data Controller for personal information entered into the system.
The Provider may act as a Data Processor when processing that information on the Customer's behalf.
The Customer is responsible for ensuring that it has the appropriate legal basis, notices, permissions, and authorizations required to collect and process personal data entered into SalePro POS.
The Provider will implement reasonable technical and organizational measures designed to protect Customer data against unauthorized access, loss, misuse, alteration, or disclosure.
Where required, the parties may enter into a separate Data Processing Agreement (DPA).
The ODPC's guidance specifically recognizes cloud computing providers and CRM/ERP providers as examples of organizations that may act as data processors. �

14. CUSTOMER RESPONSIBILITY FOR DATA
The Customer is solely responsible for:
The accuracy of information entered into SalePro POS;
Obtaining necessary permissions to collect personal data;
The legality of its business activities;
The legality of transactions processed through the system;
Correct configuration of taxes, prices, products, users and permissions;
Maintaining appropriate internal controls; and
Ensuring that employees use the system appropriately.
SalePro POS is a business management tool and does not replace the Customer's responsibility to comply with applicable tax, accounting, employment, consumer protection, business registration, or other legal requirements.
15. BACKUPS AND DATA RECOVERY
We may perform automated backups of Customer data as part of our efforts to maintain the Service.
However, backups are intended as a recovery mechanism and do not constitute an absolute guarantee against data loss.
Customers are encouraged to periodically export or retain important business records where the Service provides an export facility.
The Provider will make reasonable efforts to restore data following a system failure where a usable backup is available.
16. SERVICE AVAILABILITY
We aim to keep SalePro POS available and operational on a continuous basis.
However, uninterrupted availability is not guaranteed.
The Service may occasionally be unavailable because of:
Scheduled maintenance;
Emergency maintenance;
Server or hosting problems;
Internet connectivity problems;
Third-party service failures;
Cybersecurity incidents;
Power or infrastructure failures;
Government or regulatory actions;
Force majeure events; or
Circumstances beyond our reasonable control.
Where reasonably possible, scheduled maintenance will be communicated in advance.
17. INTERNET AND THIRD-PARTY SERVICES
SalePro POS may require an internet connection.
The Customer is responsible for:
Internet access;
Compatible devices;
Local network infrastructure;
Computers, tablets, phones, printers and barcode scanners;
Electricity;
Internet service provider charges; and
Any third-party hardware or services required to operate the system.
The Provider is not responsible for failures caused by the Customer's internet service provider, local network, device, power supply, or third-party hardware.
18. HARDWARE AND PERIPHERALS
Where SalePro POS supports hardware such as:
Thermal receipt printers;
Barcode scanners;
Cash drawers;
Computers;
Tablets;
Mobile phones; or
Other POS peripherals,
the Customer is responsible for ensuring compatibility and proper installation.
Unless expressly included in the Customer's subscription or purchase agreement, hardware is not included in the SaaS subscription.
19. TAXES, ACCOUNTING AND BUSINESS COMPLIANCE
SalePro POS provides tools for recording and reporting business transactions.
However, the Customer remains responsible for:
Tax compliance;
Accurate tax configuration;
Filing tax returns;
Accounting decisions;
Financial reporting;
Regulatory reporting;
Maintaining legally required records; and
Compliance with applicable Kenyan laws.
The Provider does not provide legal, accounting, tax, or financial advice merely by providing the Service.
